Mainland UAE companies pay 0% Corporate Tax on the first AED 375,000 of taxable profit and 9% above that, with Small Business Relief for revenue up to AED 3 million. Free zone companies only get 0% on qualifying income if they meet every condition to be a Qualifying Free Zone Person, including substance, the de minimis test, and audited accounts.
One of the most common assumptions we hear from business owners is that a free zone licence means no Corporate Tax. It can mean a 0% rate, but only if the business meets a specific set of conditions, and getting it wrong can cost five years of the benefit. Mainland companies, meanwhile, have their own rules and reliefs. This guide explains how Corporate Tax works for each, in plain English.
How Corporate Tax works for mainland companies
A mainland company pays Corporate Tax at 0% on the first AED 375,000 of taxable profit and 9% on taxable profit above that. Smaller businesses may also be able to use Small Business Relief: if revenue is AED 3 million or less in the current tax period and every previous one, the business can elect to be treated as having no taxable income, which brings its Corporate Tax to nil. That relief now applies to tax periods ending on or before 31 December 2029.
Every mainland company still has to register and file a return, even if it owes nothing. We cover the rates, deadlines, and penalties in our UAE Corporate Tax guide for SMEs.
How Corporate Tax works for free zone companies
A free zone company falls into one of two positions.
A Qualifying Free Zone Person can pay 0% Corporate Tax on its qualifying income. Any non-qualifying income is taxed at 9%.
A free zone company that does not qualify is taxed exactly like a mainland company: 0% on the first AED 375,000 of taxable profit and 9% above that.
So the free zone itself does not give you 0%. Meeting the conditions does.
The conditions to qualify for 0%
To be a Qualifying Free Zone Person, a business must meet all of the following, every tax period:
Adequate substance in the free zone. Real activity, people, and assets in the zone, appropriate to the business.
Qualifying income. The income needs to come from qualifying activities. The list of qualifying and excluded activities was updated by Ministerial Decision No. 229 of 2025, so it is worth checking where your activity now sits.
The de minimis test. Non-qualifying revenue must stay below the lower of 5% of total revenue or AED 5 million.
Audited financial statements. Every Qualifying Free Zone Person must prepare audited financial statements, whatever its size.
Transfer pricing compliance. Transactions with related parties must be on arm's length terms and properly documented.
No election out. The business must not have elected to be taxed under the standard rates.
What happens if you breach the conditions
This is the part that catches owners out. If a Qualifying Free Zone Person fails a condition, for example by letting non-qualifying revenue drift above the de minimis limit, it loses the 0% regime for that tax period and the following four. Five years at the standard rates is a significant cost, so the conditions need watching throughout the year, not just checking at year-end.
Small Business Relief is not available to Qualifying Free Zone Persons
The two regimes do not stack. A Qualifying Free Zone Person cannot claim Small Business Relief, even if its revenue is under AED 3 million. For a small free zone business, that makes it worth understanding which route actually leaves you better off, and what each one costs to maintain, including the audit that the free zone route requires.
Free zone or mainland: what it means in practice
There is no single right answer. A free zone structure can be very efficient for a business whose income genuinely comes from qualifying activities and which can carry the substance and audit requirements. A business that mainly sells to mainland customers or to individuals may find much of its income is non-qualifying, which erodes the advantage. A small business under AED 3 million in revenue may be better served by Small Business Relief on the mainland side.
The right structure depends on who your customers are, what activities you carry out, and how much revenue you expect. It is a decision to make with your actual numbers, ideally before you set up or restructure.
Whatever the structure, the books come first
Every condition above depends on accurate records: separating qualifying from non-qualifying income, tracking the de minimis position during the year, documenting related party transactions, and producing financial statements that will stand up to audit. Frequently asked questions
Do free zone companies pay Corporate Tax?
Not automatically 0%. A Qualifying Free Zone Person pays 0% on qualifying income and 9% on non-qualifying income. A free zone company that does not meet the conditions is taxed like a mainland company.
What are the conditions to be a Qualifying Free Zone Person?
Adequate substance in the zone, income from qualifying activities, non-qualifying revenue below the lower of 5% or AED 5 million, audited financial statements, transfer pricing compliance, and not having elected into the standard rates.
What happens if a free zone company breaches the conditions?
It loses the 0% regime for that tax period and the following four, so five tax periods at the standard rates.
Can a free zone company claim Small Business Relief?
A Qualifying Free Zone Person cannot claim Small Business Relief, even with revenue under AED 3 million. The two regimes are alternatives, not combinable.
Do Qualifying Free Zone Persons need audited accounts?
Yes. Audited financial statements are a condition for every Qualifying Free Zone Person, regardless of size.
Should my business be free zone or mainland?
It depends on your customers, activities, and expected revenue. It is best decided with your actual numbers and professional advice, ideally before setting up or restructuring.
